**OF AMENDMENTS TO THE AGREEMENT BETWEEN THE GOVERNMENT OF THE**
**RUSSIAN FEDERATION AND THE GOVERNMENT OF THE ISLAMIC**
**REPUBLIC OF PAKISTAN ON THE SETTLEMENT OF THE DEBT OF THE**
**ISLAMIC REPUBLIC OF PAKISTAN TO THE RUSSIAN FEDERATION ON**
**PREVIOUSLY GRANTED CREDITS OF OCTOBER 10, 2001 AND THE**
**PROTOCOL DATED FEBRUARY 15, 2021 THERETO** **(Moscow, 24.V.2023)**
The Government of the Russian Federation and the Government of the Islamic Republic of Pakistan, hereinafter referred to as the "Parties", in accordance with the terms of the Amendments dated December 22, 2020 and September 24, 2021 to the Memorandum of Understanding dated June 9, 2020 on the treatment of the debt service of the Islamic Republic of Pakistan signed in Paris between the representatives of the Government of the Islamic Republic of Pakistan and the representatives of the Governments of Participating Creditor Countries of the Paris Club, in order to release financial resources of the Government of the Islamic Republic of Pakistan to overcome the negative impact of the COVID-19 crisis on the healthcare, economic and social systems, for the purpose of further developing and strengthening traditional friendship between the two countries, have agreed to make the following amendments to the Agreement between the Government of the Russian Federation and the Government of the Islamic Republic of Pakistan on the settlement of the debt of the Islamic Republic of Pakistan to the Russian Federation on previously granted credits dated October 10, 2001 as amended by the Addendums dated October 10, 2001, March 16, 2005 and the Protocol dated February 15, 2021 thereto (hereinafter together referred to as the "Agreement dated October 10, 2001"), and to the Protocol dated February 15, 2021 thereto as follows:
**Article 1** **Consolidation**
1. The total amount of 7 133 156,42 US dollars including principal amount of 5 662 363,22 US dollars and interest amount of 1 470 793,20 US dollars due on May 31, 2021 under the Agreement of October 10, 2001 shall be consolidated (hereinafter referred to as "Consolidated Amount 1") under the present Protocol No. 2. 2. The total amount of 7 403 587,52 US dollars including principal amount of 6 068 631,43 US dollars and interest amount of 1 334 956,09 US dollars due on November 30, 2021 under the Agreement of October 10, 2001 shall be consolidated (hereinafter referred to as "Consolidated Amount 2") under the present Protocol No. 2.
**Article 2** **Repayment of Consolidated Amounts**
1. Consolidated Amount 1 shall be paid in 10 (ten) equal successive and semi-annual instalments, provided that the first payment shall be made on December 15, 2022 and the last one on June 15, 2027. The repayment schedule of Consolidated Amount 1 is provided in annex 1, which constitutes an integral part of the present Protocol No. 2. 2. Consolidated Amount 2 shall be paid in 10 (ten) equal successive and semi-annual instalments, provided that the first payment shall be made on June 15, 2023 and the last one on December 15, 2027. The repayment schedule of Consolidated Amount 2 is provided in annex 2, which constitutes an integral part of the present Protocol No. 2.
**Article 3** **Calculation and Payment of Interest**
1. The interest at the rate of 5 percent per annum shall be charged as follows: 1.1. starting from May 31, 2021 on the amounts mentioned in paragraph 1 of article 1 of the present Protocol No. 2; 1.2. starting from November 30, 2021 on the amounts mentioned in paragraph 2 of article 1 of the present Protocol No. 2. 2. The interest accrued in accordance with paragraph 1 of the present article shall be capitalized as follows: 2.1. interest accrued in accordance with subparagraph 1.1ошибка в источнике of paragraph 1 of the present article up to June 30, 2021 - on June 30, 2021 (hereinafter referred to as the "Capitalized Interest 1"); 2.2. interest accrued in accordance with subparagraph 1.2ошибка в источнике of paragraph 1 of the present article up to December 31, 2021 - on December 31, 2021 (hereinafter referred to as the "Capitalized Interest 2"). 3. The interest at the rate of 5 percent per annum shall be charged as follows: 3.1. starting from July 1, 2021 on Capitalized Interest 1; 3.2. starting from January 1, 2022 on Capitalized Interest 2. 4. The interest accrued in accordance with the present article shall be paid as follows: 4.1. on Consolidated Amount 1 and Capitalized Interest 1 - in accordance with the schedule provided in annex 1 which constitutes an integral part of the present Protocol No. 2 provided that the first payment shall be made on December 15, 2022 and the last one on June 15, 2027; 4.2. on Consolidated Amount 2 and Capitalized Interest 2 - in accordance with the schedule provided in annex 2 which constitutes an integral part of the present Protocol No. 2 provided that the first payment shall be made on June 15, 2023 and the last one on December 15, 2027. 5. The interest shall be calculated on the basis of an actual number of days elapsed in 360-day year (base 365/360). **Article 4**
**Interest on Arrears**
1. If any payment of Consolidated Amount 1 and Consolidated Amount 2 or interest mentioned in article 2 and article 3 of the present Protocol No. 2 is not effected in the due date of payment set forth in the present Protocol No. 2 this amount shall be considered to be in arrears (hereinafter referred to as the "Arrears") and shall bear penalty interest at the rate of 6 percent per annum (hereinafter referred to as the "Interest on Arrears") starting from the respective date of non-payment up to the date of its full repayment. 2. Interest on Arrears shall accrue on the basis of an actual number of days elapsed in 360-day year (base 365/360). **Article 5**
**Allocation of Payments**
1. Starting from the beginning date of the provisional application of the present Protocol No. 2 all payments under the Agreement dated October 10, 2001 and the present Protocol No. 2 shall be made by the Pakistani Party in favor of the Russian Party in Russian Rubles at the US Dollar/Russian Ruble exchange rate set by the Central Bank of the Russian Federation or Chinese Yuan (CNY) at the US Dollar/CNY Central parity rate set by the China Foreign Exchange Trade System authorized by the People's Bank of China 10 (ten) calendar days before the actual date of payment in accordance with the payment instructions of the agent authorized by the Russian Party in accordance with article 7 of the present Protocol No. 2. 2. The date of fulfilment by the Pakistani Party of the payment obligations under the Agreement dated October 10, 2001 and the present Protocol No. 2 shall be the date of crediting respective funds to the account mentioned in the payment instructions of the agent authorized by the Russian Party in accordance with article 7 of the present Protocol No. 2. 3. All amounts under the Agreement dated October 10, 2001 and the present Protocol No. 2 to be repaid by the Pakistani Party shall be exempted from any taxation and shall be paid without any restrictions, deductions, withdrawals or compensatory withholdings. 4. All amounts to be repaid by the Pakistani Party in favour of the Russian Party under the Agreement dated October 10, 2001 and the present Protocol No. 2 shall be allocated in the following sequence: - payment of Interest on Arrears; - repayment of Arrears; - payment of interest on Capitalized Interest, interest on Capitalized Interest 1, interest on Capitalized Interest 2; - payment of interest on Consolidated Amount, interest on Consolidated Amount 1, interest on Consolidated Amount 2; - repayment of Capitalized Interest, Capitalized Interest 1, Capitalized Interest 2; - repayment of Consolidated Amount, Consolidated Amount 1, Consolidated Amount 2. **Article 6**
**Payment deferral**
1. All payments under the Agreement dated October 10, 2001 and the present Protocol No. 2 due from March 1, 2022 until the beginning date of the provisional application of the present Protocol No. 2 shall be deferred. 2. The amounts of payments mentioned in paragraph 1 of the present article shall be paid by the Pakistani Party not later than 30 calendar days after the beginning date of the provisional application of the present Protocol No. 2. 3. Provided that the amounts of payments mentioned in paragraph 1 of the present article are paid within the period mentioned in paragraph 2 of the present article, these amounts are considered paid on the due dates, are not considered as Arrears and do not bear Interest on Arrears in accordance with article 5 of the Addendum dated March 16, 2005 to the Agreement dated October 10, 2001, article 4 of the Protocol dated February 15, 2021 to the Agreement dated October 10, 2001 and article 4 of the present Protocol No. 2. 4. The payment mentioned in paragraph 2 of the present article shall be made in Russian Rubles at the US Dollar/Ruble exchange rate set by the Central Bank of the Russian Federation or Chinese Yuan (CNY) at the US Dollar/CNY Central parity rate set by the China Foreign Exchange Trade System authorized by the People's Bank of China 10 (ten) calendar days before the actual date of payment. 5. If the amounts of payments mentioned in paragraph 1 of the present article are not paid within the period mentioned in paragraph 2 of the present article, these amounts are considered as Arrears and bear Interest on Arrears from the due dates mentioned in article 2 and article 3 of the Addendum dated March 16, 2005 to the Agreement dated October 10, 2001, article 2 and article 3 of the Protocol dated February 15, 2021 to the Agreement dated October 10, 2001, article 2 and article 3 of the present Protocol No. 2 up to and including the date of their final repayment. **Article 7**
**Authorized agents**
1. For the purpose of accounting and settlement under the Agreement dated October 10, 2001 and the present Protocol No. 2 the State Development Corporation "VEB.RF" authorized by the Russian Party, and the Debt Management Office of the Ministry of Economic Affairs of the Islamic Republic of Pakistan authorized by the Pakistani Party (together hereinafter referred to as the "Authorized Agents"), not later than 30 calendar days after the beginning date of the provisional application of the present Protocol No. 2 shall conclude the agreement on the technical procedures of accounting and settlement under the Agreement dated October 10, 2001 and the present Protocol No. 2 which shall come into force not earlier than the effective date of the present Protocol No. 2. 2. The Authorized Agents shall make their best efforts to ensure the full and due accounting and settlement under the Agreement dated October 10, 2001 and the present Protocol No. 2. **Article 8**
**Comparable Treatment**
The Government of the Islamic Republic of Pakistan commits itself not to accord with any of creditor country a treatment more favorable than provided by the Memorandum of Understanding dated June 9, 2020 on the treatment of the debt service of the Islamic Republic of Pakistan signed in Paris between the representatives of the Government of the Islamic Republic of Pakistan and the representatives of the Governments of Participating Creditor Countries of the Paris Club as amended by the Amendments dated December 22, 2020 and September 24, 2021 thereto. **Article 9**
**Changing the name of the authorized agent**
In article 6 of the Protocol dated February 15, 2021 to the Agreement dated October 10, 2001 the words "National Bank of Pakistan" are replaced with "the Debt Management Office of the Ministry of Economic Affairs of the Islamic Republic of Pakistan". **Article 10**
**Preservation of Rights**
The provisions of the Agreement dated October 10, 2001 shall continue to be legal and binding except as modified by the present Protocol No. 2. The provisions of the present Protocol No. 2 constitute an integral part of the Agreement dated October 10, 2001. **Article 11**
**Entry into Force**
The present Protocol No. 2 shall apply provisionally starting on the 11th calendar day after the date of signing and enters into force on the date of receipt of the last written notification of completion by the Parties of necessary internal state procedures required for its entry into force and shall be valid until the Parties have fulfilled all their obligations under the Agreement dated October 10, 2001 and the present Protocol No. 2. The termination date of the Agreement dated October 10, 2001 and the present Protocol No. 2 shall be defined by means of exchange of written notifications between the Sides through diplomatic channels. Done in Moscow on 24th May, 2023 in two originals in Russian and English, both texts being equally authentic.
